Licensing Agreement

This Licensing Agreement sets out the rights granted when you purchase beats, instrumentals, sample packs or other licensed audio products from Harmelix Music. It defines what you may and may not do with licensed material, and how exclusive and non-exclusive rights differ. By purchasing a licensed product, you accept the terms below.

[01]Definitions

In this Agreement, Licensor means Harmelix Music; Licensee means the individual or entity purchasing a license; and Licensed Material means any beat, instrumental, composition, stem, sample pack or audio file made available for license. A Derivative Work means any new recording or composition that incorporates the Licensed Material.

[02]Grant of License

Upon full payment, the Licensor grants the Licensee a license to use the Licensed Material in accordance with the specific license type purchased. The scope of permitted use, distribution limits and exclusivity are determined by that license type, as described below. All rights not expressly granted remain with the Licensor.

[03]Non-Exclusive License

A non-exclusive license permits the Licensee to use the Licensed Material while the Licensor retains ownership and may continue to license the same material to other parties. This license is suited to artists who want quality material at an accessible price and do not require sole ownership.

  • You may create one Derivative Work, such as a single song, using the Licensed Material.
  • You may distribute that Derivative Work within the limits specified for the license tier.
  • The Licensor may license the same material to other Licensees at any time.
  • The license is non-transferable and may not be resold or sublicensed.
[04]Exclusive License

An exclusive license grants the Licensee sole rights to use the Licensed Material. Once an exclusive license is purchased, the material is removed from sale and will not be licensed to any other party. The Licensor may retain the right to be credited and to use the material for portfolio or demonstration purposes only, unless a full buyout is separately agreed.

Exclusive rights take effect only upon full payment and confirmation. Until then, the material remains available to other potential Licensees.

[05]Permitted Uses

Subject to the license type purchased, the Licensee may use the Licensed Material to record and release original music, distribute through streaming and download platforms, perform the Derivative Work publicly, and use it in content such as videos, where the relevant tier allows. Specific numerical limits, where they apply, are stated at the point of purchase.

[06]Prohibited Uses

Regardless of license type, the Licensee may not resell, redistribute or transfer the Licensed Material in its original, unaltered form; register the Licensed Material with a content-identification system in a way that restricts the Licensor or other Licensees; claim sole authorship of the underlying composition where a non-exclusive license applies; or use the material in any unlawful, defamatory or infringing manner.

[07]Credit & Attribution

Unless otherwise agreed, the Licensee agrees to credit the production appropriately, for example as "Produced by Harmelix Music" or an equivalent agreed wording, in metadata, descriptions or liner notes where practical. Attribution requirements for each license tier are confirmed at purchase.

[08]Ownership & Copyright

Except where an exclusive buyout is expressly purchased, the Licensor retains ownership of the underlying composition and master of the Licensed Material. The Licensee owns the rights to their own vocal performance, lyrics and other original contributions within the Derivative Work, subject to the terms of this Agreement.

[09]Term & Termination

Unless otherwise stated, a license is granted for the duration of the applicable copyright. The Licensor may terminate the license if the Licensee breaches a material term of this Agreement, including non-payment, unauthorized distribution or prohibited use. Upon termination, the Licensee must cease all use of the Licensed Material.

[10]Warranties

The Licensor warrants that it has the right to license the Licensed Material as described. The Licensed Material is provided on a professional basis, and the Licensee is responsible for ensuring their own contributions and final use comply with applicable law and third-party rights.

[11]Governing Law

This Agreement is governed by the laws of the State of Montana, United States. Any dispute relating to the license shall be subject to the competent courts of that state, without prejudice to mandatory consumer rights you may hold in your own jurisdiction.
